LawDepot™ Terms and Conditions

The following are the terms and conditions for use (the "Terms") of the LawDepot™ web site (the "Site") and LawDepot™ services. Please read the Terms carefully.

  1. Acceptance
    By using the LawDepot™ Material (as defined below) you are deemed to accept the validity of and be bound by the Terms as stated herein without modification.

    LawDepot™ Material is defined as any legal materials, documents, contracts, software, products, web links, email, information, partial LawDepot™ Material or any other materials provided by LawDepot™, the Site or any LawDepot™ service in any way.

  2. Nature of the Service
    LawDepot™ is not a law firm and does not provide Legal Advice (as defined below). Your use of the Site or any LawDepot™ service does not create a solicitor-client relationship between you and LawDepot™.

  3. Legal Advice, Information and Decision Making Responsibility
    You agree that all decisions you make on legal matters are your full responsibility and you agree to retain legal counsel licensed to practice in your jurisdiction regarding any legal issue of enough importance to reasonably require it.

    You agree that LawDepot does not provide legal advice. If you receive any communication from LawDepot™, its agents, its employees or any other associated entity, which is Legal Advice, you agree that it is NOT a communication authorized by LawDepot™ and you agree to immediately delete and disregard it.

    Except as expressly provided in these Terms, you agree to accept full responsibility for determining the value of and for any use you make of LawDepot™ Material, and for obtaining any needed assistance from a properly licensed attorney to assess the value of and appropriate uses for any LawDepot™ Material.

    For the purposes of these Terms, Legal Advice is defined to include the following:

    • any legal related communication, work or service which, under the governing law of your jurisdiction, is only allowed to be performed by or under the supervision of a properly licensed attorney;
    • advice related to your specific legal or fact situation;
    • advice on which legal document or documents you need or are best for your situation;
    • advice applying the law or drawing any legal conclusions;
    • determining the legal consequences that will or could result from how you have created your legal document;
    • whether you have included inappropriate, conflicting, or ambiguous information in your legal documents;
    • whether you have omitted any necessary provisions or details from your legal documents; and
    • whether you require any additional legal documents or legal procedures.

  4. Use of LawDepot™ Material

    A. Generally
    You agree not to use any LawDepot™ Material for any purpose which is against any law in your jurisdiction or for any purpose which would not give full effect to the Terms even if that purpose is otherwise allowed under the Terms of this agreement.

    You may view the Site using a web browser for evaluation purposes as a potential customer or supplier.

    Final Contract is defined as the finished legal document created through the use of a LawDepot™ product such as a licensed automated contract.

    B. Single Use License and Divorce Package
    Purchase of a Single Use License or Divorce Package entitles you to:

    1. use the Final Contract for a single transaction,
    2. make one electronic backup copy of the Final Contract for your personal use,
    3. make necessary mechanical copies (e.g. photocopies or scans) of the Final Contract for your personal records and as required for completion of the specific transaction for which the Final Contract is intended.

    C. Multiple Use License
    Purchase of a Multiple Use License entitles you to:

    1. use Final Contracts for which the license is purchased for one year from the date of purchase for unlimited transactions in which you are a party in the transaction and five transactions otherwise,
    2. make one backup electronic copy of each Final Contract for your personal use,
    3. make necessary mechanical copies (e.g. photocopies or scans) of the Final Contracts for your personal records and as required for completion of the specific transactions for which the Final Contracts are intended.

    D. Subscription
    A subscription gives you the rights of a multiple use license for the products identified on the order page. You may end the subscription in the manner specified on the order page, your account area or the help documentation. LawDepot™ retains the right to cancel the subscription at any time, in which case you will only be charged for the time in which the subscription was in effect. LawDepot™ retains the right to increase the price of the subscription not more than 25% in any year; in this case, LawDepot™ must give you reasonable notice and you will have the right to terminate the subscription if you do not accept the price increase.

    E. Peace of Mind Review
    A Peace of Mind Review is where our staff reviews your answers to ensure that they are complete and consistent with each other as well as check your spelling and grammar. The details for requesting your review are provided in a message through our ticket centre after you first purchase your review.

    F. Site License
    A Site License is equivalent to a Multiple Use License for all of the products identified on the order page.

  5. Legal Information Service

    1. Unless otherwise stated in sections (B) and/or (C), the Terms and Conditions of the Legal Information Service are governed by the Terms and Agreements of our Legal Policy.
    2. Our staff will review your questions to the form that supports the Legal Information Service, but at no time does the Legal Information Service look for legal sufficiency, draw legal conclusions, provide legal advice or apply the law to the facts of your particular situation.
    3. Except as specified in these Terms, the maximum liability of LawDepot™ is double the amount paid to LawDepot™ by a customer for using the Legal Information Service.

  6. Programs
    LawDepot™ retains the right to make changes to its Affiliate Program or other programs as it sees fit.

    All Affiliate Program payment schedules and percentages are subject to change without notice. LawDepot™ also retains the right to terminate its relationship with any Affiliate or program partner at any time without penalty.

  7. Restrictions
    To the maximum extent allowable under applicable law, except as explicitly identified in these terms, you agree not to publish, re-publish, lend, license, give away, look at the software source code, modify the software source code, post to an Internet web site, or use in an automated system any LawDepot™ Material, nor will you allow or assist a third party to do so. The EULA document may be distributed on the internet without time limit by licensed LawDepot customers as part of a materially non-legal package adding significant value.

    The rights granted under these Terms are granted to you only.

    If you are an organization, a License or service purchase allows one individual within your organization to exercise the rights granted by these Terms. If multiple individuals within your organization require access, a License or service must be purchased for each individual. The appointed individual may not be changed.

    LawDepot™ retains the right to prohibit organizations, groups, or individuals from using its websites or LawDepot™ Material at its discretion.

  8. Assignment
    This agreement cannot be assigned.

  9. Ownership of Intellectual Property
    LawDepot™ DOES NOT transfer to you title to any copy, or original, of the documents or any other LawDepot™ Material. All ownership, copyright and other intellectual property rights to any LawDepot™ Material belongs solely to LawDepot™ and its suppliers except as expressly licensed in these Terms.

    Without reducing or restricting any other remedies that LawDepot™ may be entitled to, you agree that to the extent allowable under applicable law any automated system using any LawDepot™ Material will be the property of LawDepot™.

  10. Client Privacy
    LawDepot™ agrees to adhere to its Privacy Policy which can be found at http://www.lawdepot.com/privacy.php.

  11. LIMITED WARRANTIES
    Except as expressly provided in these Terms, to the maximum extent permitted under applicable law, LawDepot™ Material is provided "as is" without any kind of warranty.

    You accept full responsibility for determining whether LawDepot™ Material is suitable for any particular purpose and for protecting yourself against any possible consequential damages.

    Except as expressly provided in these Terms, we are not responsible for any loss, injury, claim, liability, damage, or consequential damage related to your use of LawDepot™ Material, or for inaccessibility of LawDepot™ Material whether from errors or omissions in the content of LawDepot™ Material or any other linked sites or for any other reason. Use of LawDepot™ Material is at your own risk.

    LawDepot™ does not represent or warrant that LawDepot™ Material, its server or any linked sites are free of any harmful materials.

  12. Maximum Liability
    Except as expressly provided in these Terms, the maximum liability of LawDepot™ is the amount paid to LawDepot™ by the customer.

  13. Guarantees and Refunds
    The amounts specified in this section are the limits to any guarantees provided in any LawDepot™ Material.

    A. Quality Guarantee
    Our maximum liability for any Quality Guarantees specified on the Site is 100 USD for United States customers, 100 CAD for Canadian customers, 100 GBP for United Kingdom customers and 100 USD for other customers.

    We will pay a person up to our maximum liability under the quality guarantee if:

    1. the person purchased a license for a contract covered by the guarantee;
    2. the person advises us of a mistake in our wording, not theirs;
    3. the mistake must be related to the wording of the legal contract and not other text on the Site;
    4. the mistake existed in the contract at the time the customer purchased the license; and
    5. the customer was the first person to mention that mistake.

    We are only required to pay a person for one mistake no matter how many mistakes they may bring to our attention.

    B. Other Guarantees and Refunds
    LawDepot™ will honor any other guarantees and refund commitments specified in LawDepot™ Material to a maximum of $500 USD. No additional guarantees are applicable.

  14. Terms
    All of the Terms are valid regardless of the heading. To the maximum extent possible, the Terms take precedence over any conflicting LawDepot™ Material.

  15. Indemnification
    The user agrees to indemnify and hold LawDepot™, its directors, officers and employees, harmless from any claim, demand, or damage, including legal fees, asserted by any third party due to or arising out of the user's use of the Site or LawDepot™ Material.

  16. Modification to Terms
    LawDepot™ reserves the right to change the Terms or policies regarding the use of the Site at any time and to notify you by updating the Site. Other terms and conditions are only valid when signed in writing by an authorized LawDepot™ officer.

  17. Severability
    The invalidity or unenforceability of any provision of these Terms or the Site’s Disclaimer will not affect the validity or enforceability of any other provision of these Terms or the Site’s Disclaimer and such invalid provision will be deemed to be severable.

  18. Whole Agreement
    The Terms and the Site’s Disclaimer constitute the whole agreement between you and Sequiter Inc. which is the owner of the LawDepot™ Material, brand and trademark.

  19. Waivers
    No failure or delay, on the part of LawDepot™, in exercising any right or power under these Terms will operate as a waiver of such right or power.

  20. Governing Law
    The Terms are governed by the laws of the Province of Alberta in Canada. You consent to the exclusive jurisdiction of the courts of the Province of Alberta, Canada.
