Contract Addendum

Alternate Names:

A Contract Addendum is also known as a/an:

  • Addendum agreement
  • Amending agreement
  • Contract amendment
  • Addendum to contract

What is an addendum?

A Contract Addendum is a document that you use to add terms or make changes to an executed contract without invalidating the original. Rather than terminating a contract and starting over, you can create an addendum and update the existing agreement.

To legally execute an addendum made with LawDepot, all parties involved in the original contract must review it and sign off on its terms. Once properly signed, you must attach your addendum to the original contract or agreement.

What should I include in my Contract Addendum?

A Contract Addendum should contain the following information:

  • The names of the individuals, corporations, or organizations involved in the original contract
  • The date that the parties will sign the Contract Addendum
  • A description of the original contract’s purpose and the date it was signed
  • The specific amendment(s) that you are making
  • Any additional clauses that you wish to include

Use the additional clauses section of LawDepot's Contract Addendum template if you'd like to add a brand new clause to an agreement. For instance, if you're amending a Service Agreement, you could create a clause to address a cancellation policy. Your policy may include a cancellation fee based on your industry, the amount of notice provided, and lost profits.

When should I use a Contract Addendum?

Creating an addendum is extremely helpful if you need to change a specific date, modify a price, add or remove a clause, or make any other changes to the terms of an existing contract.

You can amend many different contracts with an addendum. Some examples include:

If you need to make major changes, consider creating a new document. For example, you would need to change the main terms of your Residential Tenancy Agreement if you’re moving into a new flat within the same building.

While your landlord remains the same, the new flat has a different address, a different tenancy start and end date, and may cost more because it’s larger than the flat you rented before. Rather than changing several terms with an addendum, starting a new document makes more sense.

Can I amend a contract more than once?

In the United Kingdom, there is no limit to the number of times you can alter an agreement with a Contract Addendum. However, when using LawDepot’s Contract Addendum template, you can only make changes or add terms to a contract five times. If you need to make more than five addendums for a contract, consider creating a new version of your original document and updating it with your most up-to-date terms.

Can I amend a contract on my own?

You can create a Contract Addendum on your own, but you cannot execute the document and amend a contract individually. You must involve the other party who is legally bound by the contract. Once you create your addendum using LawDepot’s template, the other party must consent to the new terms and then sign it.

Consider asking a professional legal expert to review the contract addendum before you sign it. This way, you can ensure that the changes reflect the best interests of all the parties involved.

Can you amend an addendum?

Addendums and amendments are meant to update or modify an original contract. If you have to create multiple amendments to a contract and they begin to contradict one another, consider creating a new contract with the most up-to-date terms.

What is the difference between an addendum and an amendment?

By definition, an addendum adds terms that were not part of the original agreement, while an amendment modifies the existing terms. You can use LawDepot’s Contract Addendum and Amendment template to perform both actions.

Can I amend a Tenancy Agreement?

You can easily amend a Tenancy Agreement with LawDepot’s Lease Amendment. Our template allows you to modify the lease terms for residential and commercial properties.
